AJAMAX PRODUCTIONS LTD

TV AND FILM SUBMISSION & NON-DISCLOSURE AGREEMENT

This Submission and Non-Disclosure Agreement (the "Agreement") is entered into and made effective as of the date of submission (the "Effective Date") by and between:

1. AJAMAX Productions Ltd, a company incorporated in England and Wales with its principal place of business/registered address in the United Kingdom ("Company", "AJAMAX", "we", "us", or "our"); and

2. The individual, team, or entity submitting the material identified in the submission form below ("Submitter", "you", or "your").

RECITALS

WHEREAS, Submitter has developed and owns or controls certain proprietary intellectual property, ideas, pitch materials, and documents relating to a television, film, or audiovisual project (the "Project"); and

WHEREAS, Submitter desires to submit the Project to AJAMAX for the sole purpose of evaluation for potential development, co-production, financing, and/or distribution consideration; and

WHEREAS, AJAMAX receives a high volume of unsolicited and solicited submissions and requires clear conditions, due diligence representations, mutual confidentiality obligations, and standard legal protections prior to reviewing any submitted materials.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. SUBMISSION REQUIREMENTS & REQUIRED DOCUMENTS

To enable AJAMAX to evaluate the Project, Submitter agrees to submit a complete submission package via our official channels. The submission package must include, at a minimum, the following materials:

1. Complete Script / Screenplay or Treatment / Bible (formatted to standard industry specifications);

2. Pitch Deck / Look Book (including logline, synopsis, character breakdown, visual tone, target audience, and market positioning);

3. Chain of Title Documents (proof of copyright ownership, options, life rights acquisitions, or underlying rights licenses);

4. Project Summary & Budget Outline (including estimated production budget, attached talent/director/cast list, and current status of finance, if applicable);

5. Due Diligence Checklist (as set forth in Section 2 below).

AJAMAX reserves the right to reject or decline any submission that does not include all requested documentation.

2. SUBMITTER REPRESENTATIONS & DUE DILIGENCE

Submitter explicitly warrants, represents, and covenants that:

1. Due Diligence Completed: Submitter has conducted all necessary legal, creative, and operational due diligence regarding the Project prior to submission.

2. Sole Ownership & Authority: Submitter is the sole creator, owner, or authorized representative of the submitted materials, with full right, power, and authority to enter into this Agreement and submit the Project to AJAMAX.

3. No Infringement: The Project and all associated materials are original, and do not infringe upon, misappropriate, or violate any copyright, trademark, trade secret, right of privacy, publicity, or any other personal or proprietary right of any third party.

4. No Encumbrances: The Project is free and clear of any liens, claims, legal disputes, or third-party encumbrances that would restrict AJAMAX from evaluating or potentially collaborating on the Project.

3. MUTUAL NON-DISCLOSURE & CONFIDENTIALITY (NDA)

1. Confidential Information: "Confidential Information" shall mean all non-public, proprietary information disclosed by either party under this Agreement, including but not limited to screenplay content, story concepts, pitch decks, budgets, financial projections, business models, trade secrets, and discussion details.

2. Company's Obligations: AJAMAX agrees to keep the Submitter's Confidential Information strictly confidential and shall not publish, disclose, or disseminate the Project materials to third parties without the prior written consent of Submitter, except to AJAMAX's internal officers, employees, advisors, legal counsel, and potential co-financing partners who need to know such information for evaluation purposes and are bound by similar obligations of confidentiality.

3. Submitter's Obligations: Submitter agrees to keep confidential all non-public communications, feedback, business proposals, financial terms, or evaluation criteria shared by AJAMAX.

4. Exceptions: Confidential Information does not include information that:

   • Is or becomes publicly known through no breach of this Agreement by the receiving party;

   • Was already in the rightful possession of the receiving party prior to disclosure;

   • Is independently developed by the receiving party without reference to or use of the disclosing party's Confidential Information; or

   • Is required to be disclosed by law, regulation, or court order.

4. NO OBLIGATION, NO GUARANTEE & DISCLAIMER

1. No Guarantee of Selection: Submitter expressly acknowledges and agrees that the submission of the Project confers no guarantee that the Project will be reviewed, selected, optioned, developed, financed, or produced by AJAMAX.

2. No Liability or Accountability: AJAMAX is under no obligation to provide feedback, notes, or explanations in the event a Project is declined. AJAMAX shall not be held accountable or liable in any manner if AJAMAX decides not to proceed with, support, or invest in the Project.

3. Independent Development & Similar Ideas: Submitter acknowledges that AJAMAX receives over 40 submissions weekly and is actively developing, reading, and receiving numerous ideas, scripts, and concepts. Submitter agrees that:

   • Similarities between the Submitter's Project and projects independently developed or produced by AJAMAX, its affiliates, or third parties may occur coincidentally.

   • Submitter will not be entitled to any compensation, credit, or consideration merely because AJAMAX develops or produces a project containing themes, plot lines, elements, or concepts similar or identical to those in Submitter's Project.

5. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any dispute, controversy, or claim arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

6. ELECTRONIC SIGNATURE & ACKNOWLEDGMENT

By submitting materials to AJAMAX Productions Ltd, you acknowledge that you have read, understood, and agreed to all terms and conditions set forth in this Submission & Non-Disclosure Agreement.
